7. Governing Law & Dispute Resolution
This Agreement will be governed by the laws of India. Any disputes arising from this Agreement will be resolved exclusively in the courts of Ahmedabad, Gujarat.In case of any dispute, the parties agree to resolve it through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. Arbitration will take place in Ahmedabad, Gujarat.
8. Entire Agreement
This Agreement constitutes the entire agreement between you and CodexBrains concerning the Services and supersedes all previous agreements or communications. If any provision of this Agreement is found to be invalid or unenforceable, the rest of the Agreement will remain in full effect.

Dispute Resolution
Any dispute arising out of or relating to this Agreement, including its interpretation, performance, or breach, shall be resolved exclusively through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration will be held in Ahmedabad, Gujarat, and the proceedings will be conducted in English.
The arbitrator’s decision will be final, binding, and enforceable in any competent court of law. The costs of arbitration, including the arbitrator’s fees, will be shared equally by both parties unless determined otherwise by the arbitrator. The parties agree to resolve disputes individually and not as part of a class or representative action.
The arbitration process is the exclusive means for resolving disputes under this Agreement, and both parties waive the right to trial by jury or court proceedings, except for interim relief, which may be sought through courts in Ahmedabad, Gujarat.
Governing Law
This Agreement will be governed by the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
Export Laws and Privacy
Users must comply with all applicable export laws and regulations. The use of CodexBrains’ Services for processing personal data outside India is prohibited unless allowed by law.
Miscellaneous
Both parties confirm that they have the full legal authority, capacity, and permission to enter into this Agreement and that all necessary actions have been taken to authorize and execute this Agreement. CodexBrains reserves the right to assign or transfer its rights, obligations, or duties under this Agreement, in whole or in part, to any third party at its sole discretion.
However, users may not assign or transfer their rights, responsibilities, or obligations under this Agreement to any third party without the prior written consent of CodexBrains. Any unauthorized assignment by the user will be deemed void. This provision ensures that both parties retain their respective rights and obligations as agreed upon and preserves the integrity of this Agreement.
